1.Acceptance of these Terms
These Terms & Conditions ("Terms") form a legally binding agreement between you ("you", "your", the "User") and Chalkmark.school, a product operated by Teche Center ("Chalkmark.school", "we", "us", "our"), governing your access to and use of the Chalkmark.school website, applications, and related services (collectively, the "Service").
By creating an account, accessing, or using the Service in any way — including by clicking "Start free", "Sign up", or any similar control — you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree to these Terms, you must not access or use the Service.
2.Definitions
- "Account" — the registered profile you create to use the Service.
- "Content" — any text, data, lesson plans, slides, syllabus entries, prompts, files, or other material made available through the Service.
- "User Content" — Content that you submit, input, upload, or generate using the Service.
- "AI Output" — Content automatically generated by artificial-intelligence features of the Service in response to your inputs.
- "Wallet" — the prepaid usage balance in your Account used to access certain AI features.
- "Subscription" — a recurring paid plan that provides continued access to the Service.
3.Eligibility & authority
You must be at least 18 years of age and capable of forming a legally binding contract under applicable law to use the Service. The Service is intended for use by teachers and educators. By using the Service you represent and warrant that you meet these requirements and that all information you provide is accurate, current, and complete.
If you use the Service on behalf of a school, institution, or other organisation, you represent that you are authorised to bind that organisation to these Terms, in which case "you" refers to that organisation. You are responsible for ensuring that your use complies with any policies of your school or employer; we are not responsible for such compliance.
The Service is not directed at children. You must not use the Service to collect, input, or process personal information of students or other minors except where you are lawfully permitted to do so and have obtained all necessary consents. You are solely responsible for obtaining and maintaining such consents.
4.The Service
Chalkmark.school provides tools intended to help teachers plan lessons, organise classes, subjects, chapters and topics, build teaching slides and pages, manage a timetable, view analytics, and interact with AI-assisted features. The Service is a planning and productivity aid only. It is not a substitute for your own professional judgement, expertise, curriculum requirements, board or examination guidelines, or institutional policies.
We may add, modify, suspend, or remove features at any time without notice. The Service, including any AI features, may produce results that are incomplete, inaccurate, outdated, or unsuitable. You are responsible for independently reviewing, verifying, and deciding whether and how to use any Content.
5.Accounts & security
To use the Service you must register an Account, typically using your phone number and a one-time password (OTP) delivered via WhatsApp or other messaging. You are responsible for:
- maintaining the confidentiality of your Account, OTPs, devices, and credentials;
- all activity that occurs under your Account, whether or not authorised by you;
- notifying us promptly of any unauthorised use or security breach.
We are not liable for any loss arising from unauthorised use of your Account. We may suspend or terminate Accounts that we reasonably believe are being misused, are fraudulent, or violate these Terms.
6.Trial, fees, Wallet & subscriptions
6.1 Signup & trial
Access may begin with a one-time signup fee (for example, ₹10) which may include a limited free-trial period (for example, 30 days) and an initial Wallet credit. Trial terms, amounts, and durations are described at signup and may change at any time for future signups.
6.2 Subscription & billing
After any trial, continued access requires a paid Subscription (for example, ₹299 per month). By subscribing, you authorise us and our payment processors to charge the applicable fees, including on a recurring/automatic basis, until you cancel. Prices are in Indian Rupees (INR) unless stated otherwise and may be exclusive or inclusive of taxes as indicated at the point of sale. We may change prices and plans at any time; changes apply to subsequent billing periods.
6.3 Wallet & usage-based features
Certain AI features consume credit from your prepaid Wallet based on usage (such as the volume of text processed). Wallet balances are a prepaid facility for accessing features, are denominated in INR for convenience only, are non-transferable, carry no interest, and have no cash value beyond access to the Service. We may change usage rates and pricing at any time.
6.4 Payments & processors
Payments are processed by third-party payment service providers (such as Razorpay) and/or through associated commerce systems. Your use of those services is subject to their terms and policies. We do not store full payment-card details. We are not responsible for the acts, omissions, availability, fees, or security of any payment processor.
6.5 Taxes
You are responsible for all applicable taxes, duties, and government charges associated with your use of the Service, other than taxes based on our net income.
7.Refunds
Except where required by applicable law, all fees, signup charges, Subscription payments, and Wallet top-ups are non-refundable. Cancelling a Subscription stops future renewals; it does not entitle you to a refund for the current or any past billing period. Unused Wallet balances and unused portions of any period are non-refundable. We are not obliged to provide credits or refunds for downtime, errors, dissatisfaction, or discontinuation of any feature.
8.Acceptable use
You agree not to, and not to permit any third party to:
- use the Service for any unlawful, harmful, fraudulent, infringing, or abusive purpose;
- upload or generate content that is illegal, defamatory, obscene, hateful, harassing, or that violates the rights or privacy of others;
- input personal or sensitive data of any person without a lawful basis and all required consents;
- attempt to reverse-engineer, decompile, scrape, overload, disrupt, or gain unauthorised access to the Service or its systems;
- resell, sublicense, or commercially exploit the Service except as expressly permitted;
- use the Service to develop a competing product, or to train other machine-learning models;
- circumvent usage limits, security, or billing; or misuse Wallet, trial, or referral mechanics.
We may investigate and take any action we consider appropriate, including suspension or termination, for any actual or suspected violation. You are solely responsible for your conduct and your User Content.
9.AI-generated content
The Service includes features that generate AI Output using third-party AI models. You acknowledge and agree that:
- AI Output is produced automatically and may be inaccurate, incomplete, outdated, biased, misleading, or otherwise unsuitable;
- AI Output is provided as a draft and starting point only and must be reviewed, fact-checked, and edited by you before any use;
- the same or similar Output may be generated for other users; we make no claim of uniqueness or originality and you must not assume any AI Output is free of third-party rights;
- you are solely responsible for any decision, action, lesson, assessment, communication, or material that relies on AI Output, and for its accuracy, appropriateness, and compliance with curriculum and legal requirements;
- you must not rely on AI Output for any matter requiring professional, medical, legal, financial, safety, or examination accuracy.
10.No guarantee of results or outcomes
Chalkmark.school makes no representation, warranty, promise, or guarantee — express or implied — that use of the Service will improve, maintain, or have any effect on students' grades, marks, results, learning, comprehension, performance, behaviour, attendance, or any other academic or non-academic outcome.
Chalkmark.school also makes no guarantee regarding teacher productivity, time saved, lesson quality, syllabus completion, or career outcomes. Any figures, testimonials, examples, or statistics shown on our website or marketing are illustrative only, are not promises, and must not be relied upon. Educational and other outcomes depend on numerous factors outside our control, and rest entirely with you and your students.
11.Your content & licence to us
You retain ownership of your User Content. You grant us a worldwide, non-exclusive, royalty-free licence to host, store, copy, process, transmit, display, and otherwise use your User Content (and to share it with our service providers, including AI and hosting providers) solely as necessary to operate, maintain, secure, and improve the Service and to provide it to you. You represent and warrant that you have all rights and consents necessary to grant this licence and that your User Content does not violate any law or third-party right. You are solely responsible for backing up your User Content; we are not a backup service.
12.Intellectual property
The Service, including its software, design, text, graphics, logos, and the "Chalkmark.school" and "Teche Center" names and marks, is owned by us or our licensors and is protected by intellectual-property laws. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable licence to use the Service for your internal teaching purposes. No other rights are granted. All rights not expressly granted are reserved.
13.Third-party services
The Service relies on and integrates third-party services, which may include AI providers (such as Google Gemini), messaging providers (such as WhatsApp / Meta), payment providers (such as Razorpay), hosting, and others. Your use of those services may be subject to their own terms and policies. We do not control and are not responsible or liable for the availability, performance, accuracy, security, acts, omissions, fees, or policies of any third party. Links to third-party sites are provided for convenience only and do not imply endorsement.
14.Disclaimer of warranties ("as is")
The Service, including all Content and AI Output, is provided "as is" and "as available", with all faults and without warranty of any kind. To the maximum extent permitted by applicable law, we expressly disclaim all warranties, conditions, and representations of any kind, whether express, implied, statutory, or otherwise, including any implied warranties or conditions of merchantability, satisfactory quality, fitness for a particular purpose, title, accuracy, and non-infringement.
We do not warrant that the Service will be uninterrupted, timely, secure, error-free, or free of viruses or harmful components; that defects will be corrected; that any Content or AI Output will be accurate, reliable, complete, or suitable; or that the Service will meet your requirements or expectations. No advice or information, whether oral or written, obtained from us or through the Service creates any warranty not expressly stated in these Terms.
15.Assumption of risk & your responsibility
You use the Service entirely at your own risk and on your own responsibility. You are solely and fully responsible for your use of the Service, for any reliance on any Content or AI Output, and for all consequences arising from them. The entire risk as to the quality, accuracy, suitability, and performance of the Service rests with you.
You acknowledge that you are the professional responsible for your classroom, your students, your materials, and your decisions. You must independently verify any information before relying on it. Chalkmark.school assumes no accountability for your teaching, your assessments, your communications, your compliance with curriculum or law, or any result of your work.
16.Limitation of liability
To the maximum extent permitted by applicable law, in no event will Chalkmark.school, Teche Center, or their owners, directors, employees, affiliates, agents, suppliers, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, opportunity, or anticipated savings, or for any educational, academic, reputational, or business loss, arising out of or relating to the Service or these Terms, whether based in contract, tort (including negligence), strict liability, or any other legal theory, and whether or not we have been advised of the possibility of such damages.
To the maximum extent permitted by applicable law, the total aggregate liability of Chalkmark.school and Teche Center for all claims arising out of or relating to the Service or these Terms will not exceed the greater of (a) the total fees actually paid by you to us for the Service in the three (3) months immediately preceding the event giving rise to the claim, or (b) one hundred Indian Rupees (₹100).
Some jurisdictions do not allow certain exclusions or limitations; in such cases the above will apply to the fullest extent permitted, and nothing in these Terms excludes liability that cannot lawfully be excluded.
17.Indemnification
You agree to defend, indemnify, and hold harmless Chalkmark.school, Teche Center, and their owners, directors, employees, affiliates, agents, and licensors from and against any and all claims, demands, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use or misuse of the Service; (b) your User Content; (c) your violation of these Terms or any law; (d) your violation of any third-party right, including privacy and intellectual-property rights; or (e) any reliance on Content or AI Output by you or anyone acting through you.
18.Availability, changes & termination
We may modify, suspend, or discontinue all or part of the Service at any time, with or without notice. We may impose limits on certain features or restrict access without liability. We may suspend or terminate your access at any time, with or without cause or notice, including for any breach of these Terms. You may stop using the Service and cancel your Subscription at any time. Upon termination, your right to use the Service ceases immediately; provisions that by their nature should survive (including Sections 7, 9–17, 19, 21, and 22) will survive. We may delete your Account and User Content after termination and are not obliged to retain it.
19.Privacy
Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect information. By using the Service you consent to the practices described there.
20.Changes to these Terms
We may update these Terms from time to time. The "Last updated" date reflects the latest version. Material changes may be communicated through the Service or by other reasonable means. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Service.
21.Governing law & disputes
These Terms and any dispute or claim arising out of or in connection with them or the Service are governed by and construed in accordance with the laws of India, without regard to conflict-of-laws principles. Subject to any applicable mandatory law, the courts at the place of our registered operations in India will have exclusive jurisdiction, and you consent to that jurisdiction and venue. To the extent permitted by law, the parties may agree to resolve disputes through arbitration in India under the Arbitration and Conciliation Act, 1996, conducted in English by a sole arbitrator, with the seat in India. To the maximum extent permitted by law, you agree that any claim will be brought in your individual capacity and not as part of any class or representative action.
22.General
- Entire agreement: these Terms and the Privacy Policy are the entire agreement between you and us regarding the Service and supersede all prior understandings.
- Severability: if any provision is held unenforceable, the remaining provisions remain in full effect, and the unenforceable provision will be modified to the minimum extent necessary.
- No waiver: our failure to enforce any right or provision is not a waiver of it.
- Assignment: you may not assign these Terms without our prior written consent; we may assign them freely.
- Force majeure: we are not liable for any delay or failure caused by events beyond our reasonable control, including outages, network or third-party failures, acts of god, or government action.
- Notices: we may provide notices through the Service or to the contact details on your Account.
- Headings: headings are for convenience only and do not affect interpretation.
